Bank Windhoek is recruiting a Senior Legal Advisor, in Windhoek, Namibia.
Description
  • In consultation with the Manager: Legal Advisory Services, to render comprehensive legal services to all Namibian companies forming part of the Capricorn group (the group) in order to leverage economies of scale and effectively utilise legal expertise to render these services promptly and efficiently
  • (SP8) Risk Management
Duties
  • Clients:
  • Assist the Manager: Legal Advisory Services with:
    • Service delivery of the Namibian In-house Legal Advisory Services Department is of a good quality and rendered in accordance with the Legal Services Delivery
    • Developing legal policies for implementation across all legal functions with the necessary adaptation
  • Drafting:
  • Drafting of agreements and correspondence of internal and external distribution and reviewing of letters prepared for legal purposes
  • Drafting of terms and conditions relating to official company documentation, including bank documents such as bank products, event documentation and application forms
  • Drafting agreements in accordance with applicable laws, including without limiting the following agreements: Sale and acquisition of shares; Sale and acquisition of members’ interest; Acknowledgement of debt; Joint ventures; Articles and memorandums of association; Leases; Contractors’ agreements; Settlements; Confidentiality agreements; Unit Trust and related custody agreements; Loans; Credit facility agreements, etc
  • Legal Reviewing:
  • Legal reviewing of company policies and documentation, including understanding of the business requirements an determining the legal implications and recommending changes in conformity with the legal environment
  • Legal Research:
  • Obtaining, perusal and studying of legislation, case law and other legal resources and advises on the effect thereof on the group
  • Obtaining and forwarding of legislation, case law and other legal resources to relevant persons in group companies
  • Legislative Review:
  • Responsible for and oversees legislative review, which includes:
  • Scanning the legal environment for proposed legislative changes, including the newspapers, GG’s and other legal resources
  • Convening the Group Legislative Review Forum
  • Acting as the secretary to the Group Legislative Review Forum
  • General Legal Support/Representation:
  • Acceptance of mandatory and discretionary representation on committees of group companies in accordance with instructions from the Manager: Legal Advisory Services
  • Negotiations:
  • Participating in negotiations between group entities and third parties
  • Drawing agreements and/or correspondence arising from such negotiations
  • Labour Matters:
  • Provision of labour advices on application of and compliance with labour legislation
  • Revision of and drafting of employment; fixed term and contractors’ agreements
  • Legal Advice:
  • Responsible for and oversees the rendering of advice on all legal matters pertaining to amongst other the following business areas of the group:
    • (1) Banking
    • (2) Insurance
    • (3) Private and Venture Equity
    • (4) Asset Management
    • (5) Micro Finance
    • (6) Property Development
    • (7) Specialist Property/Financing
  • Collateral and Bank Demand Guarantees:
  • Provision of advice on collateral and bank demand guarantees in respect of the effect, wording and consequences thereof
  • Conduct of liability assessments on collateral and bank demand guarantees to ensure that the bank’s risks are limited and its interests are adequately protected
  • Provision of support to the Collateral Compliance Department (CCD) on matters relating to collateral
  • Review and drafting of collateral and bank demand guarantees that vary from the standard form and/or are complex in nature
  • Knowledge Management:
  • Responsible for and oversees the effective administration of the contract management system which includes:
  • Custodianship of the repository for agreements of group companies
  • Distribution of notices for renewals
  • Scanning of contracts onto the system
  • Expert Co-Sourcing:
  • Determining when to instruct external legal service providers in accordance with the criteria provided and as approved by the Manager: Legal Advisory Services
  • Instruct and liaise with external legal service providers on behalf of the client
  • Manage the scope of instructions to external service providers
  • Demand challenge and pre-approve invoices for final approval by the Manager: Legal Advisory Services
  • Legal Risk Framework:
  • Act as the Principal Risk Coordinator (PMC) for the Principal Risk Owner (Manager: Legal Advisory Services) in respect of the management, reporting and maintenance of the legal risk framework within the
  • Namibian jurisdiction
Requisites
  • LLB Degree from a recognised university
  • Admission as legal practitioner of the High Court of Namibia
  • 7 years’ relevant experience in a similar environment of which 3 years should have been in a managerial position
