NASRIA is recruiting a Legal and Compliance Manager, in Windhoek, Namibia.
Description
  • D3 Paterson Grading
  • The purpose of the role is to provide the Managing Director’s office, Board of Directors as well as the Board sub-committee members with Legal and Compliance-related services and advice
  • To plan, develop and implement compliance frameworks and systems to ensure that the company complies to the legal statutes, rules, policies and procedures
Duties
  • To provide legal advice to the Board and Management and overall legal support to ensure that legal risks are identified and mitigated
  • To ensure that Board and Sub-committee procedures are followed, and reviewed regularly or as required
  • Ensure that applicable regulatory procedures of the Board and Board sub-committees conduct their affairs in line with regulatory requirements
  • To provide the Board as a whole with detailed guidance as to the execution of their fiduciary responsibilities and proper discharged of the functions in the best interest of NASRIA and in accordance with good corporate governance
  • Keep abreast with evolving regulatory matters, and advise the Board of emerging current corporate governance and practices
  • Ensure that Board charters and terms of reference of Board sub-committees are kept up to date
  • Prepare and upload Board & sub-committee packs on the platform for Board meetings
  • Elicit responses, input, feedback for Board and Board sub-committee meetings
  • Ensure preparation and circulation of Board and sub-committee meetings
  • Ensure legal and regulatory compliance by the NASRIA and its affiliates
  • Provide legal technical support on litigation proceedings or any legal matter that requires interpretation and advise and safe keeping of records/documents
Requisites
  • Education/Qualifications:
  • LL.B degree or equivalent, admitted in terms of the Legal Practitioners Act of 1995
  • Experience/Knowledge & Skills:
  • At least three (3) years’ experience as an admitted legal practitioner, LL.M in commercial law, financial law, or financial services regulation would be an advantage
  • Relevant Acts and Regulations related to financial services law and other applicable laws, compliance certification, advanced company law, administrative law, anti-money laundering laws
  • Behavioural Skills:
  • Problem solving skills, Interpersonal skills, Computer literacy skills, financial skills, Judgement ability, Planning skills, prioritising skills, effective communication, including active listening skills; well organized and managing of own time and outputs effectively; Building effective relationships with team
