Bank Windhoek is recruiting a Legal Advisor, in Windhoek, Namibia.
Description
  • To render comprehensive legal services to all companies forming part of the Capricorn Group in order to leverage economies of scale and effectively utilize legal expertise to render these services promptly and efficiently
Duties
  • Clients:
  • Ensure that service delivery is of a good quality and rendered in accordance with the Legal Policy, Legal Framework and in line with the deliverables agreed in the SLAs
  • Drafting:
  • Responsible for the drafting of agreements and correspondences, which includes but is not limited to preparing of correspondences for internal and external distribution; reviewing of letters prepared for legal purposes; drafting of terms and conditions relating to official company documentation; drafting agreements in accordance with applicable laws
  • Legal Reviewing:
  • Responsible for the legal reviewing of company policies and documentation
  • Legal Research:
  • Responsible for obtaining, perusal and studying of legislation, case law and other legal resources and advises on the effect thereof on the Group
  • Litigation:
  • Assisting with facilitation and support of the litigation process in consultation with internal clients; maintenance of records of all litigation proceedings; obtaining of regular progress reports on litigation proceedings from the external legal practitioners and drawing up of the litigation report for submission to the various committees of internal clients
  • Intellectual Property:
  • Assisting the managing the Intellectual Property portfolio of the group, which will include but is not limited to conducting availability searches, registration of new trademarks, renewing of existing trademarks, lodging objections to trademarks and liaising with BIPA regarding trademark matters
  • General Legal Support/Representation:
  • Acceptance of mandatory and discretionary representation on committees of group companies in accordance with instructions from the Manager: Legal Advisory Services
  • Negotiations:
  • Providing guidance to relevant internal clients regarding negotiations between group entities and third parties, then drawing agreements and/or correspondence arising from such negotiations
  • Labour Matters:
  • Provision of labour advice to the Group on application of and compliance with labour legislation; Revision of and drafting of employment; fixed term and contractors' agreements; and Provision of general labour advice to the Group on a wider range of issues
  • Legal Advice:
  • Responsible for the rendering of advice on all legal matters pertaining to amongst other the following business areas of the group: (1) Banking; (2) Insurance (3) Private and Venture Equity; (4) Asset Management; (5) Micro Finance; (6) Property Development; and (7) Specialist Property/Financing
  • Collateral and Bank Demand Guarantees:
  • Providing advice on collateral and bank demand guarantees in respect of the effect, wording and consequences thereof
  • Conduct of liability assessments on collateral and bank demand guarantees to ensure that the bank’s risks are limited and its interests are adequately protected
  • Provision of support to the Collateral Compliance Department (CCD) on matters relating to collateral
  • Review and drafting of collateral and bank demand guarantees that vary from the standard form and/or are complex in nature
  • Expert Co-Sourcing:
  • Determining when to instruct external legal service providers in accordance with the criteria provided and as approved by the Manager: Legal Advisory Services
  • Instruct and liaise with external legal service providers on behalf of the client
  • Manage the scope of instructions to external service providers
  • Demand challenge and pre-approve invoices for final approval by the Manager: Legal Advisory Services
  • Office Management:
  • Complying with all Legal Policies and Frameworks internal practice provisions, policies and standards as communicated from time to time
Requisites
  • Qualifications:
  • LLB Degree
  • Admission as a legal practitioner of the High Court of Namibia
  • Experience:
  • 1-3 years' relevant experience in a similar environment
