Nedbank is recruiting a Group Company Secretary, in Windhoek, Namibia.
Description
- To be the Company Secretary of the NNH Group and ensure the Board and the company are in compliance with relevant statutory and regulatory obligations and governance measures and to administer all Group, Board and Executive Management meetings and all group subsidiary companies board governance and administration processes
Duties
- Ensure that the NNH Group and the Board complies with relevant regulation, legislation, internal policies and processes and that non-compliance is duly reported as required
- Draft, amend or update policies and governing documents, circulars, notices, prospectuses and Annual Reports stemming from legislative and ad hoc requirements
- Provide guidance and advice to all Board members on matters of good corporate governance and any legal governance implications of proposed policies or legislative changes
- Monitor market and environmental trends and source specialist expertise to provide training when relevant
- Prepare relevant components of the annual report and ensure that all statutory deadlines are met
- Ensure that the company’s annual financial statements are sent to shareholders within the stipulated period and that dividends are paid
- Determine strategy and budget for the division and ensure that forecasted budgets are met
- Liaise with external regulators, advisors, auditors and industry role players
- Collaborate with majority shareholders on group wide policies
- Maintain company records, such as lists of Directors and shareholders, and annual accounts

- Essential Qualifications - NQF Level:
- Matric / Grade 12 / National Senior Certificate
- Preferred Qualification:
- Professional Qualification: Bachelor of Laws (LLB) or equivalent, Post Graduate Degree, Advanced Diplomas/National 1st Degrees
- A Chartered Secretary qualification will be an added advantage
- Minimum Experience Level:
- Must have Six (6) to eight (8) years company secretarial experience at a senior level (Banking environment preferable)
