PWC Namibia is recruiting a Company Secretarial - Consultant, to be based in Walvis Bay, Namibia.
Description
- A career in our Company Secretariat practice, within Legal Services, will provide you with the opportunity to help our clients adopt a more strategic approach to global entity governance across their organisations
- We help our clients and their legal entities with the incorporation of new companies, on going compliance with local legislation, and restructuring of their global businesses to manage governance and compliance risks
Duties
- Use feedback and reflection to develop self awareness, personal strengths and address development areas
- Delegate to others to provide stretch opportunities, coaching them to deliver results
- Demonstrate critical thinking and the ability to bring order to unstructured problems
- Use a broad range of tools and techniques to extract insights from current industry or sector trends
- Review your work and that of others for quality, accuracy and relevance
- Know how and when to use tools available for a given situation and can explain the reasons for this choice
- Seek and embrace opportunities which give exposure to different situations, environments and perspectives
- Use straightforward communication, in a structured way, when influencing and connecting with others

- Uphold the firm's code of ethics and business conduct
- Daily liaison with the Business and Intellectual Property Authority (BIPA)
- Forming and registration of Close Corporations and Companies
- Appointment and resignation of Directors/Members and Auditors/Accounting officers
- Allotment and transfer of shares
- Preparation of special resolutions
- Preparation of minutes, resolutions and notices
- Updating of statutory records
- Filing and follow up on outstanding documents
- Liaising with clients
Requisites
- Must be a Namibian Citizen
- Must have Grade 12
- A relevant tertiary qualification will be an advantage
- Persons from previously disadvantaged designated groups are encouraged to apply
- At least 3 Years' relevant work experience
- Excellent interpersonal skills, verbal and written communication skills required
- Must be able to meet deadlines, perform under pressure and manage multiple tasks
- Must be able to work independently within a team environment
- Competent in the use of Microsoft office, especially Microsoft Word and Excel
- Basic typing and administration skills
